1. Acceptance of Terms
Welcome to TourOpero. These General Terms and Conditions ("Terms") govern your access to and use of our website, mobile applications, marketplace system, and B2B/B2C widgets (collectively, the "Platform").
By creating an account, booking an experience, registering as an experience supplier, or otherwise accessing our Platform, you agree to comply with and be legally bound by these Terms, along with our Privacy Policy. If you do not agree to these Terms, you may not access or use the Platform.
2. Role and Scope of TourOpero
TourOpero acts solely as an intermediary matching platform. We provide technology that enables licensed local tour, transport, and activity operators ("Operators") to list vacant seats on guaranteed departures, and enables travelers ("Passengers") or booking partners ("Agents") to search and purchase those empty spots.
Important Notice: TourOpero does not own, operate, manage, or control any of the vehicles, buses, boats, tours, or transport logistics advertised on the Platform. The legal contract for the provision of the travel experience is entered into directly between the Passenger and the Operator.
3. Bookings, Commissions, and Payments
When a booking is made through TourOpero, the payment is authorized and captured securely. Payment processing services on the Platform are provided by Stripe Connect.
Commission Structure: TourOpero charges a standard 15% commission (consisting of a 12% platform take-rate and a 3% Stripe processing fee) on completed bookings. Because our commission is percentage-based, it applies regardless of the specific currency used for the booking.
No Subscription or SaaS Fees: There are no monthly subscription fees, setup fees, or listing fees to use the platform. Access to all features, including operations management, resources, and partner dispatch, is completely free. We succeed only when you make sales, funded entirely by our 15% marketplace commission.
Operator Price Control: Operators maintain absolute control over their pricing and discounting. TourOpero will not apply additional discounts or promotions to your inventory without your authorization. Operators are free to set any selling price, though recommended ranges may be suggested to align with the marketplace's focus on last-minute value.
Payment Schedule: Operator payouts are accumulated and processed on a monthly schedule.
Booking Notifications & Office Hours: Whenever a booking is completed, the Operator receives an immediate email notification. Since only confirmed remaining seats are listed, bookings can continue to be accepted automatically, even outside normal office hours.
4. Cancellations, Refunds, and No-Shows
Because TourOpero is specifically designed for last-minute inventory sold at discounted rates, the platform operates under a strict cancellation and refund framework to build mutual trust:
Traveler Cancellations: Bookings made through the marketplace are strictly non-refundable. If a traveler decides to cancel their booking, no refund will be provided.
Operator Cancellations & Service Failure: Refunds are only issued when the Operator cancels the trip or is otherwise unable to provide the scheduled service (due to safety, weather, or mechanical issues). In these events, the traveler is entitled to a 100% refund.
No-Shows: If a traveler fails to arrive at the designated meeting point on time, it is considered a no-show. No-shows are non-refundable, and the Operator will receive their booking payment as scheduled. However, if the Operator determines that the traveler's circumstances warrant an exception, they may choose to authorize a partial or full refund at their discretion, which TourOpero will facilitate.
5. Passenger Conduct and Responsibilities
Passengers must arrive at the designated meeting point at least 15 minutes before the departure time. Operators are not obligated to delay tours or departures for late passengers.
You must comply with all health, safety, and operational instructions issued by the Operator. Operators reserve the absolute right to deny boarding or service to any passenger who acts in a disorderly, unsafe, or abusive manner.
6. Operator Terms, Marketplace, and Exclusivity
By registering on our platform, Operators warrant that they hold all necessary licenses, commercial insurance coverage, safety certificates, and permits required to carry out the listed experiences in their respective jurisdictions.
No Exclusivity or Commitments: There are no minimum commitments, performance requirements, or exclusivity agreements. Operators are free to use TourOpero alongside their existing direct sales channels and distribution networks.
Marketplace & Traveler Requests: Travelers can submit custom tour requests on the platform. These appear in the Marketplace section, where registered Operators can compete, accept the deal, or submit alternative offers directly to the traveler.
Integrated Operations Platform: Beyond the marketplace, TourOpero functions as an operations tool to help Operators manage daily manifests, staff assignments, and fleets, reducing manual administrative workloads.
7. Disclaimers & Limitation of Liability
LIMITATION OF LIABILITY: TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TOUROPERO INC. SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING OUT OF, OR IN ANY WAY CONNECTED WITH, YOUR ACCESS TO, OR USE OF, THE TOURS AND EXPERIENCES BOOKED THROUGH THE PLATFORM. THIS INCLUDES VEHICLE ACCIDENTS, PHYSICAL INJURY, PROPERTY DAMAGE, OR DEATH.
Our Platform and Services are provided on an "as is" and "as available" basis without warranties of any kind. We do not warrant that the Platform will operate uninterrupted or error-free.
8. Intellectual Property and Content
All text, graphics, logos, layouts, and software code on the Platform are the exclusive property of TourOpero or its licensors. You may not copy, reverse engineer, or scrape Platform data without written authorization.
When you submit reviews, photographs, or ratings on the Platform, you grant TourOpero a non-exclusive, royalty-free, perpetual, transferable license to publish, display, translate, and distribute this content globally in connection with promoting the Platform.
9. Governing Law and Dispute Resolution
These Terms and your use of the Platform shall be governed by and construed in accordance with the laws of the Province of Alberta and the federal laws of Canada, without regard to conflict of law principles.
Any dispute, claim, or controversy arising out of these Terms or the breach, termination, enforcement, or interpretation thereof shall be submitted to confidential, binding arbitration in Calgary, Alberta, except that each party retains the right to seek injunctive relief in a court of competent jurisdiction.
